Lesson 9: Performance and Breach of Sales Contracts
Let’s dive into the basics of the UCC, or Uniform Commercial Code. Don't worry, we'll keep it engaging and simple, with a touch of humor!
In Article 2: Sales under the Uniform Commercial Code (UCC), the concepts of performance and breach of sales contracts are crucial. This lesson provides a detailed examination of these topics, which are key to understanding commercial transactions.
Performance of Sales Contracts
The performance of a sales contract involves fulfilling the obligations specified in the contract. Under the UCC, several critical provisions govern performance:
- Tender of Delivery: The seller must tender delivery of the goods in accordance with the contract terms.
- Place of Delivery: Unless otherwise agreed, the place of delivery is the seller's place of business.
- Time of Delivery: Delivery must be made within a reasonable time if no specific time frame is stated.
- Perfect Tender Rule: The goods delivered must conform exactly to the contract terms.
Tender of Delivery
The seller's obligation to tender delivery is met when they put and hold conforming goods at the buyer's disposal and notify the buyer. The following diagram illustrates the tender of delivery process:
Perfect Tender Rule
The UCC's perfect tender rule requires that the goods and their delivery conform precisely to the contract. If the goods or delivery fail to meet the contract terms, the buyer may:
- Reject the entire shipment
- Accept the entire shipment
- Accept part of the shipment and reject the rest
Breach of Sales Contracts
A breach occurs when a party fails to perform any obligation under the contract. Breaches can be classified as either material or minor:
- Material Breach: A significant failure that permits the aggrieved party to terminate the contract and seek damages.
- Minor Breach: A partial breach that may allow for compensation but not contract termination.
The following flowchart summarizes the breach of sales contract process:
Seller's Remedies
If the buyer breaches the contract, the seller has several remedies available under the UCC:
- Withhold Delivery: The seller may withhold delivery of the goods.
- Stop Delivery: If the goods are in transit, the seller can stop the carrier from delivering them.
- Resell the Goods: The seller can resell the goods and recover the difference between the resale price and the contract price.
Buyer's Remedies
If the seller breaches the contract, the buyer may:
- Cancel the Contract: The buyer can cancel the contract.
- Cover: The buyer can purchase substitute goods and recover the cost difference from the seller.
- Recover Damages: The buyer may recover damages for non-delivery or for any loss resulting from the breach.
